Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of NewCoRadar.

NewCoRadar is a trading name of Deplova Ltd, a company registered in England and Wales under company number 16633010, with registered office at 85 Great Portland Street, London, London W1W 7LT, GB.

By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

If you do not agree with these Terms, you must not use NewCoRadar.

2. Definitions

"Service" means the software services provided by NewCoRadar.

"Platform" means the NewCoRadar website, web application, and related systems used to deliver the Service.

"User" means any individual or organisation that accesses or uses the Service.

"Company Data" means business information displayed or processed by the Platform, including data from Companies House and other public sources.

"Subscription" means a paid plan that provides access to the Service on a recurring basis.

"Account" means the registered user profile used to access the Platform.

3. Eligibility

You must be at least 18 years old and capable of entering into legally binding contracts to use the Service.

If you are using the Service on behalf of an organisation, you confirm that you have authority to bind that organisation to these Terms.

4. Description of the Service

NewCoRadar provides a SaaS platform designed to help users discover newly incorporated UK companies.

The Platform uses data sourced from Companies House and other public data sources.

Features include filtering by industry, location, and opportunity signals; lead scoring; saved searches; alerts; and CSV export functionality.

The Service is intended to help identify companies that may represent commercial opportunities.

The Service is provided on an "as is" and "as available" basis.

NewCoRadar makes no warranties, representations, or guarantees that the Service will be uninterrupted, secure, error-free, or that it will meet your specific requirements.

5. No Guarantee of Contact Information

NewCoRadar may attempt to detect company websites automatically where possible.

However, NewCoRadar does not guarantee the availability, completeness, or accuracy of contact details for any company.

Users are responsible for identifying and using appropriate contact methods themselves, including publicly available sources such as company websites, LinkedIn, and Companies House records.

6. Account Registration

You must provide accurate, current, and complete information when creating and maintaining your Account.

You are responsible for maintaining the confidentiality and security of your login credentials.

Accounts are for your internal use and must not be shared with other individuals unless explicitly allowed under your plan.

You are responsible for all activities that occur under your Account.

7. Subscription and Billing

Access to the Service requires an active paid Subscription.

Subscriptions are billed monthly in advance.

Billing and payment processing are handled by Stripe.

Your Subscription renews automatically at the end of each billing cycle unless you cancel before the next renewal date.

You may cancel at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current paid billing period unless otherwise required by law.

Subscription fees are non-refundable except where required by applicable law.

NewCoRadar reserves the right to change Subscription pricing at any time. Any pricing changes will take effect from the next billing cycle following reasonable notice to users.

NewCoRadar may offer free, discounted, or promotional trial access to the Service from time to time.

Trial access may be subject to separate eligibility criteria, usage restrictions, feature limitations, or time limitations determined by NewCoRadar.

NewCoRadar reserves the right to modify, withdraw, suspend, or terminate any trial offering at any time without liability.

NewCoRadar reserves the right to suspend, restrict, or terminate access to the Service where payment is overdue, declined, reversed, refunded, disputed, or otherwise unsuccessful.

Unless otherwise stated, all fees are exclusive of VAT and any other applicable taxes, duties, or governmental charges, which shall be payable by the User where applicable.

8. Acceptable Use

You must not scrape, systematically copy, or extract substantial portions of the Platform database.

You must not resell, sublicence, or commercially redistribute Platform data without written permission.

You must not use bots, crawlers, or other automated extraction tools to access data from the Service.

You must not reverse engineer, decompile, disassemble, or otherwise attempt to derive source code from the Platform except where legally permitted.

You must not use the Service for illegal, fraudulent, or abusive activity.

You must not use information obtained through the Service to send spam or unlawful communications.

Users are solely responsible for ensuring that their use of information obtained through the Service complies with all applicable laws and regulations, including UK GDPR, PECR, anti-spam laws, and any other applicable marketing or data protection legislation.

Users assume full responsibility for how they use any data, information, exports, leads, contact details, or other content obtained through the Service.

NewCoRadar accepts no liability whatsoever for any communications, outreach, sales activity, marketing campaigns, or other actions undertaken by users using information obtained from the Service.

9. Fair Usage and Rate Limiting

NewCoRadar may impose reasonable usage limits, export caps, search limits, or fair usage restrictions to protect platform stability, prevent abuse, and ensure fair access for all users.

10. Data Sources and Accuracy

Company information is sourced from Companies House and other publicly available sources.

NewCoRadar processes, organises, and enriches this data to provide search, filtering, and opportunity features.

NewCoRadar does not guarantee that third-party data is complete, accurate, current, or error-free.

Information provided through the Service is for general informational and commercial opportunity purposes only and does not constitute legal, financial, investment, or professional advice.

Users acknowledge that all Company Data and information provided through the Service is used entirely at their own risk.

Users are solely responsible for independently verifying any information before relying on it for business, legal, marketing, financial, commercial, or operational decisions.

NewCoRadar acts solely as a software platform and data aggregation tool.

NewCoRadar does not endorse, verify, validate, recommend, warrant, or guarantee any company, lead, opportunity, score, signal, contact detail, or data made available through the Service.

NewCoRadar accepts no responsibility or liability for any inaccuracies, omissions, errors, delays, outdated information, missing information, or incomplete information contained within the Platform or Company Data.

Users acknowledge that no information provided by the Service should be relied upon as the sole basis for any business or commercial decision.

11. Third-Party Sources

NewCoRadar relies on third-party and public data sources to provide aspects of the Service.

NewCoRadar is not responsible for the availability, accuracy, completeness, legality, or reliability of any third-party or public source data.

Any interruption, inaccuracy, delay, or removal of third-party source data shall not give rise to liability or refund rights.

12. Intellectual Property

NewCoRadar and its licensors own all rights, title, and interest in the software, Platform, and related data processing methods.

Subject to these Terms, you are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes.

You may not reproduce, modify, distribute, publicly display, or create derivative works from the Platform except as expressly permitted by these Terms.

13. Service Availability

The Service may be temporarily unavailable from time to time due to maintenance, upgrades, third-party outages, or technical issues.

Unless explicitly stated in a separate written agreement, NewCoRadar does not provide a specific uptime guarantee.

NewCoRadar reserves the right to suspend, restrict, or discontinue any part of the Service at any time without liability.

14. Limitation of Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability which cannot be excluded by law.

To the fullest extent permitted by law, NewCoRadar is not liable for indirect, incidental, special, consequential, or punitive damages.

NewCoRadar is not liable for business interruption, loss of profits, loss of revenue, loss of goodwill, or losses arising from reliance on Platform data.

NewCoRadar's total aggregate liability for claims arising out of or related to the Service is limited to the total amount paid by you for the Service in the 12 months preceding the event giving rise to the claim.

For the avoidance of doubt, NewCoRadar shall have no liability for any decisions, actions, omissions, losses, liabilities, penalties, claims, or damages arising from or related to any use of, reliance upon, or inability to use Company Data or Platform information.

15. Force Majeure

NewCoRadar shall not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including internet outages, hosting failures, cyberattacks, acts of God, governmental actions, labour disputes, or third-party service interruptions.

16. Indemnity

You agree to indemnify, defend, and hold harmless NewCoRadar, Deplova Ltd, its directors, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses arising out of your misuse of the Service, breach of these Terms, or violation of applicable law.

17. Termination

NewCoRadar may suspend or terminate your Account or access to the Service if you breach these Terms.

You may cancel your Subscription at any time, subject to the billing terms set out above.

Upon termination, your right to access the Service ends immediately.

NewCoRadar may delete or restrict access to account and user data within 30 days of termination unless retention is required by law.

18. Changes to the Service

NewCoRadar may add, modify, replace, or remove features and functionality at any time to improve or evolve the Platform.

NewCoRadar reserves the right to modify, remove, add, reallocate, or amend features, usage limits, or functionality associated with any subscription plan at any time.

19. Changes to Terms

NewCoRadar may update these Terms from time to time.

Where changes are material, NewCoRadar will provide reasonable notice via the Platform or by email before updated Terms take effect.

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

20. Cookies

NewCoRadar uses only essential cookies required for the operation of the platform.

These cookies are used for user authentication, maintaining login sessions, and basic security functions.

The platform does not use advertising cookies or tracking cookies.

Because these cookies are strictly necessary for the service to function, they cannot be disabled while using the platform.

21. Assignment

NewCoRadar may assign, transfer, or subcontract its rights and obligations under these Terms without restriction.

You may not assign or transfer your rights under these Terms without prior written consent.

22. No Waiver

Failure or delay by NewCoRadar to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.

23. Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision shall be deemed severed and the remaining provisions shall remain in full force and effect.

24. Dispute Resolution

Before commencing legal proceedings, the parties agree to attempt in good faith to resolve any dispute arising under these Terms through informal negotiations.

25. Electronic Acceptance

Use of the Service, creation of an Account, or purchase of a Subscription constitutes electronic acceptance of these Terms and forms a legally binding agreement between you and NewCoRadar.

26. Entire Agreement

These Terms constitute the entire agreement between you and NewCoRadar regarding the Service and supersede all prior agreements, understandings, representations, and communications.

27. Survival

Any provisions of these Terms which by their nature should survive termination shall survive termination, including but not limited to limitation of liability, indemnity, intellectual property, payment obligations, disclaimers, and governing law.

28. Governing Law

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales.

29. Public Data Attribution

NewCoRadar uses company information sourced from Companies House and other public sector information.

Contains public sector information licensed under the Open Government Licence v3.0.

NewCoRadar is not affiliated with or endorsed by Companies House.
